These Terms & Conditions (“SMS Terms”) govern your participation in the SMS Campaign operated by Larstrand Corporation (EIN 13-2524829) having a trade name as Friedland Properties (“Friedland Properties,” “we,” “us,” or “our”).
These SMS Terms apply specifically to our SMS Campaign and should be read together with our Privacy Policy for SMS Campaign and any other applicable terms and conditions published on our website.
1. SMS Campaign
Friedland Properties operates an SMS Campaign to provide property information to prospective tenants and other individuals who contact us by phone to inquire about a rental property.
When you call Friedland Properties, your call is answered by an automated artificial intelligence (AI) voice agent, not a human representative. The AI agent responds to your property-related questions. Your call may be recorded, transcribed, and summarized using AI technology for operational and compliance purposes. During or following the call, if you have requested or inquired about property information, the AI agent will ask whether you consent to receive a text message with a link to the relevant listing. If you provide consent, we will send you one SMS message containing:
- A link to the specific property listing discussed during the call; or
- A link to our available property listings page, if no specific property was discussed during the call.
The SMS is sent once only, directly in connection with your property inquiry, and is never repeated. Messages under this program are sent only to individuals who have initiated a property inquiry by calling us.
We do not use purchased, rented, scraped, or third-party contact lists. We do not send messages to individuals who have not initiated a property inquiry.
2. SMS Consent
SMS messages are sent only where you have expressly consented to receive a text message during your inbound phone call to Friedland Properties. Consent is obtained verbally by the AI voice agent during the call.
The SMS will be sent to the phone number you used to initiate the call. If you provide an alternate phone number during the call for this purpose, we will send the SMS to that number only if the call originated from that alternate number or you confirm that you are authorized to consent on behalf of the owner of that number.
You are not required to consent to SMS messaging as a condition of purchasing, leasing, or receiving any property or service from us.
3. Message Frequency
You will receive no more than one SMS message per property inquiry call where you have consented to receive it.
No follow-up, recurring, or unsolicited messages will be sent in connection with this program. If you initiate a new property inquiry call, you may receive one further SMS in connection with that new inquiry.
4. Message and Data Rates
Message and data rates may apply.
Your mobile carrier’s standard messaging and data rates may apply depending on your mobile plan.
5. Opt-Out
You may opt out of receiving SMS messages at any time by replying STOP to any message from us.
After processing your opt-out request, we will stop sending SMS messages covered by the applicable opt-out, except where permitted or required by applicable law or where you later provide valid consent to receive messages again.
You may also opt out by contacting us at support@theshift.ai and requesting removal from the SMS program. We will confirm your opt-out in writing upon request.

7. Consent Records
We may maintain records of SMS consent and related communications for compliance, operational, recordkeeping, and dispute-resolution purposes.
Such records may include your phone number, date and time of consent, method through which consent was obtained, the relevant property inquiry, and information relating to the consent or withdrawal of consent.
8. Privacy
Our collection, use, storage and disclosure of personal information, including mobile phone numbers and SMS consent information, is described in our Privacy Policy.
We do not sell, rent, or share your mobile phone number or SMS opt-in information with third parties or affiliates for their own marketing or promotional purposes.
9. Service Providers
We may use third-party service providers necessary to operate our business and SMS Campaign, including providers of technology, hosting, communications, voice and messaging services.
Such service providers may process personal information only as reasonably necessary to provide services to us and may not use SMS opt-in information for their own independent marketing or promotional purposes.
10. Carrier Disclaimer
Carriers are not liable for delayed or undelivered messages.
Message delivery may be affected by factors outside our control, including mobile carrier availability, network conditions, device configuration, or other technical circumstances.
11. SMS Availability
We do not guarantee that every SMS message will be delivered immediately or at all. SMS delivery depends in part on telecommunications networks and systems operated by third parties.
12. Governing Law
These SMS Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-laws principles.
13. Limitation of Liability
To the fullest extent permitted by applicable law, Friedland Properties shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the SMS messaging program, including but not limited to any failure to deliver messages, unauthorized access to personal information, or reliance on information provided via SMS. Our total liability arising out of or relating to the SMS messaging program shall not exceed $100 in the aggregate. Nothing in this section limits liability that cannot be limited under applicable law, including liability under the Telephone Consumer Protection Act (TCPA) or applicable state consumer protection statutes.
14. Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these SMS Terms or the SMS messaging program shall first be submitted to good-faith informal negotiation by contacting us at rent@friedlandproperties.com. If the dispute is not resolved within thirty (30) days, either party may pursue resolution in the state or federal courts located in New York County, New York, and each party consents to the exclusive jurisdiction of such courts.
15. Telephone Consumer Protection Act (TCPA) Notice
By providing your verbal consent during a call with our AI voice agent to receive an SMS message, you agree to receive one automated text message from Friedland Properties or Larstrand Corporation at the phone number you provide or from which you called. This consent is not a condition of any purchase, lease, or service. Standard message and data rates may apply. You may revoke your consent at any time by replying STOP or by contacting us.
16. Changes to These SMS Terms
These Terms & Conditions for SMS Campaign are effective as of September 30, 2026.
We may update these SMS Terms from time to time to reflect changes to our SMS program, business practices, applicable requirements, or applicable law. The latest version will be published on our website together with its effective date.
